1. Acceptance of Terms

Welcome to ViHi, a video-based gig hiring platform operated by Neosenth (“Company,” “we,” “us,” or “our”). By accessing or using our platform, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on our platform. Your continued use after such changes constitutes acceptance of the modified Terms.

2. Description of Service

ViHi is a platform that connects freelancers (“Talent”) with clients (“Hirers”) through video-based profiles and AI-powered matching. Our services include:

• Video profile creation and hosting
• Job posting and talent discovery
• AI-powered matching and recommendations
• In-platform messaging and communication
• Secure payment processing

3. User Accounts

3.1 Registration

To use certain features of ViHi, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

3.2 Account Types

ViHi offers two types of user accounts:

• Talent Account: For freelancers seeking work opportunities
• Hirer Account: For individuals or businesses seeking to hire talent

Users may operate as both Talent and Hirer using the same account.

3.3 Age Requirement

You must be at least 18 years old to create an account and use our services.

4. Video Content

4.1 Ownership

You retain ownership of the video content you upload to ViHi. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide our services.

4.2 Content Guidelines

You agree that your video content will not:

• Contain false, misleading, or deceptive information
• Include sexually explicit or pornographic material
• Promote violence, discrimination, or hatred
• Infringe on any third party's intellectual property rights
• Violate any applicable laws or regulations
• Contain malware, viruses, or harmful code
• Include spam or unsolicited promotional content

4.3 Content Removal

We reserve the right to remove any content that violates these Terms or is otherwise objectionable, without prior notice. Repeated violations may result in account termination.

5. Payments and Fees

5.1 Subscription Model

ViHi operates on a subscription-based pricing model. We do not take a commission on earnings. Subscription fees will be announced prior to launch.

5.2 Payment Processing

All payments are processed through secure third-party payment providers. For gig payments between Hirers and Talent, funds are held in escrow until work is completed and approved.

5.3 Refunds

Subscription fees are generally non-refundable unless required by applicable law. For disputed gig payments, see our dispute resolution process below.

6. User Conduct

When using ViHi, you agree not to:

• Violate any applicable laws or regulations
• Impersonate any person or entity
• Harass, threaten, or intimidate other users
• Send spam or unsolicited communications
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our platform
• Scrape or collect data from our platform without permission
• Circumvent or manipulate our matching algorithms
• Create multiple accounts to abuse promotions or features

7. Dispute Resolution

7.1 Between Users

If a dispute arises between a Hirer and Talent regarding a gig, we encourage users to resolve it directly. If unable to resolve, either party may request mediation through our support team.

7.2 With Neosenth

Any disputes between you and Neosenth will first be addressed through good faith negotiation. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

8. Disclaimers

ViHi is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee:

• The quality, accuracy, or reliability of any user content
• The qualifications or work quality of any Talent
• The legitimacy or payment reliability of any Hirer
• Uninterrupted or error-free service
• Results from using our AI matching system

9. Limitation of Liability

To the maximum extent permitted by law, Neosenth shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim arising from these Terms or your use of ViHi shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $100.

10. Account Termination

We may suspend or terminate your account at any time if you violate these Terms or for any other reason at our discretion. Upon termination:

• Your right to use ViHi will immediately cease
• We may delete your account data, including videos
• Any pending payments may be forfeited

You may also delete your account at any time through your account settings.
